Article I Dues
Section 1. The fiscal year shall begin the first day of November.
Section 2. Annual dues shall be $40.00 per household.
Article II Duties of Officers
Section 1. The President shall preside at all meetings and shall establish and appoint committees, subject to Executive Committee approval, as deemed necessary. In the Treasurer’s absence he/she shall also have the power to sign Association checks in accordance with the rules governing the Treasurer.
Section 2. The Vice-President shall assume all general and specific duties of the President in his absence. He/She shall perform other duties as may be assigned to him by the President. He/She shall assume the unexpired term of the President should this office become vacant.
Section 3. The Treasurer shall be the custodian of all money belonging to the Association, and shall be authorized to pay all appropriate debts, not to exceed $25.00 per month, unless specifically budgeted. The Treasurer shall keep an accurate record and account of all receipts and payments, including dues from members, and shall present a statement of the sums at each regular meeting. Checking and saving accounts shall be established in the name of the Pepper Ridge Civic Association, in a bank approved by the Executive Committee.
Section 4. The Secretary shall keep a record of all proceedings, including the Executive Committee meetings, of the Association and shall attend to all correspondence. He/She shall issue notices to members as may be required and may perform such other duties as may appertain to his office. He/She shall also be responsible for taking attendance at all meetings and keeping up-to-date lists of residents in the community and membership. District Representatives will assist the Secretary in these duties.
Article III Executive Committee
Section 1. The Executive Committee shall be composed of President, Vice-President, Treasurer, Secretary, and all District Representatives.
Section 2. The Executive Committee shall have the power to transact the business of this Association.
Section 3. The Executive Committee shall not take any action that would alter, delay or change the intent of any action passed by the membership.
Section 4. Eight members of the Executive Committee shall constitute a quorum for the transaction of business.
Section 5. The President shall call a meeting of the Executive Committee at least once per quarter.
Article IV Committees
Section 1. The President shall appoint, subject to Executive Committee approval, all committee chairmen, except the Nominating Committee, as they become necessary to transact the business of the Association. It shall be the chairman’s responsibility to appoint the members of his committee.
Section 2. The Nominating Committee shall be appointed by the Executive Committee.
Article V Elections
Section 1. The Nominating Committee shall present a list of at least two candidates (with their permission) for each office. This list shall be submitted to the membership with the notice of the annual meeting. Candidates may be nominated from the floor at the annual meeting or in writing 3 days prior to the annual meeting.
Section 2. The nominee for each office receiving a plurality of the votes shall be declared elected and shall assume his duties as the last order of business at the annual meeting.
Section 3. The order of nominations and election shall be as follows: President, Vice-President, Treasurer, Secretary and District Representatives. In the event of a tie vote, another election shall be held between those persons who tied for the office.
Section 4. District Representatives will be from their respective districts and will be voted on by that district only.
Article VI Recall
Section 1. An officer or member of the Executive Committee may be suspended, for cause only, by a two-thirds vote of the Executive Committee. He may be removed from office, for cause only, by a majority meeting called within three weeks of his suspension by the Executive Committee.
Article VII Order of Business
Section 1. Meetings shall be conducted in accordance with “Roberts Rules of Order” as interpreted by the President.
Article VIII Amendment
Section 1. These By-Laws may be adopted, amended or repealed by a majority vote of the Association’s membership in a Quorum.
Section 2. All proposed changes in the By-Laws must be circulated to the membership at least 10 days prior to voting.
