Pepper Ridge Civic Association Constitution

Article I Name

Section 1. The name of this organization shall be Pepper Ridge Civic Association, hereafter known as the Association.

Article II Purpose

Section 1. To initiate, encourage, plan and participate in activities that will contribute to the welfare and sociability of the community.

Article III Membership

Section 1. Membership in the Association shall be limited to individuals residing in the townhouses within the boundaries of Pepper Ridge.

Section 2. Membership shall be obtained by the payment of dues as specified in the Constitution and By-Laws.

Section 3. Non-Resident owners shall be eligible for membership in the Association, but not as a voting member.

Section 4. Any adult, defined as a person 18 years or older, shall be eligible to represent and to vote in behalf of his or her household.

Section 5. Each household shall be entitled to two votes.

Article IV Officers

Section 1. The officers of this Association shall be: President, Vice-President, Treasurer, and Secretary. They shall be members of the Executive Committee. In addition to these, the Executive Committee shall consist of 8 district representatives elected by the general membership of his district.

Section 2. All members of the Executive Committee shall be elected at the annual meeting and shall continue in office for one year or until their successors are elected.

Section 3. Vacancies in office due to death, transfers, resignation or inability to serve, shall be filled by the appointment of the Executive Committee, with the exception of the office of President, which shall be filled by the Vice-President. The person thus chosen will hold office for the unexpired term.

Section 4. All officers must be adult members in good standing.

Article V Meetings

Section 1. A regular meeting in September shall be known as the annual meeting. It shall be held for the purpose of electing officers and presentation of the annual report.

Section 2. Special meetings may be called by the President or the Executive Committee. The Executive Committee shall be required to call a special meeting within 5 days upon the petition of 25 members in good standing. Members shall be notified of all special meetings by written notice delivered to the homes of members 3 days prior to the meeting where practical. The purpose of the special meeting shall be indicated by such notice and other matters shall not be made part of the business of the meeting.

Section 3. A quorum shall exist at meetings when 30 percent of the eligible members are represented.

Section 4. At any meeting of the members, every member entitled to vote may do so in person or by written proxy specifying the issues upon which he wishes his ballot cast for him. Only a voting member from a household shall have discretionary voting privileges for and in the absence of the other voting member of that residence.

Article VI Finances

Section 1. Annual dues shall be payable no later than the first day of November and shall be assessed per household. There will be no refund of dues.

Section 2. The annual dues will be established by the Executive Committee in accordance with the annual budget. The annual budget must be approved by a majority of those voting at an Executive Committee meeting which will be held no later than the first day of June each year.

Section 3. Total expenditures shall not exceed the amount in the treasury.

Section 4. Money over and above annual dues can be collected only after a majority approval of those voting at a special or annual meeting.

Article VII Audit

Section 1. There shall be an audit made of the business records of the Association each year.

Section 2. The President shall appoint two members, not officers, to conduct this annual audit. These two appointees will be subject to Executive Committee approval.

Article VIII Districts

Section 1. For only the purpose of equitable representation on the Executive Committee of all residents, Pepper Ridge shall be assumed to consist of 8 districts of 25 lots each as follows:
